These terms govern the supply of professional business and consulting services by Richie & Liyana Pty Ltd. By engaging us, visiting our website at richieliyana.online, or accepting a quote, you agree to be bound by these terms.

Last updated: 1 July 2025

1. About these terms

These Terms of Service (the “Terms”) form the agreement between you and Richie & Liyana Pty Ltd (ABN 97 703 173 399) of Melbourne VIC, Australia (“we”, “us” or “our”). They apply to all professional business and consulting services we supply, including advice, planning, analysis, reporting and related support services.

If there is any inconsistency between these Terms and a signed engagement letter, proposal or statement of work agreed for a particular project, the signed document will prevail to the extent of the inconsistency.

2. Our services

We provide professional business and consulting services as described on our Services page and in any proposal or scope of work we issue to you. Unless expressly agreed in writing, our services do not include legal advice, financial product advice, taxation advice or audit services, and nothing on this website should be taken as such advice.

Any general guidance or templates we provide are intended for your business use only and should be tailored to your circumstances before you rely on them for regulatory, legal or financial decisions.

3. Quotes and engagement

Quotes provided by us are valid for 30 days from the date of issue unless stated otherwise. A quote may be withdrawn before acceptance. An engagement begins when you accept our quote in writing (including by email) or when work commences at your request, whichever occurs first.

Quotes are based on the information you provide and the scope described at the time. If the scope, timeline or underlying assumptions change, we will discuss the impact with you and, where required, issue a revised quote or written variation for your approval before proceeding.

4. Fees, invoicing and payment

Fees are set out in your quote or engagement letter and are payable in Australian dollars. Unless we agree otherwise in writing:

If an invoice remains unpaid after its due date, we may suspend services, charge interest on the outstanding amount at a reasonable commercial rate, and recover reasonable costs of debt recovery. You remain liable for all amounts properly invoiced for work performed up to the date of any suspension or termination.

5. GST

Fees and amounts quoted are inclusive of GST unless otherwise stated. Where GST applies, it will be shown separately on our invoices in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth).

6. Your obligations

To enable us to deliver the services effectively, you agree to:

Delays caused by information not being provided may affect delivery dates and, where applicable, additional fees may be agreed in writing.

7. Intellectual property

We retain ownership of our pre-existing methodologies, frameworks, templates, tools and know-how. Upon full payment of our fees, you own the final deliverables prepared specifically for you, including reports, plans and documents created under the engagement.

Unless we agree otherwise in writing, deliverables are provided for use within your own business and may not be resold, licensed to third parties or published without our prior written consent.

8. Confidentiality

Each party will keep confidential all non-public information received from the other party in connection with the engagement, and will only use it for the purposes of the services. This obligation does not apply to information that is publicly available, independently developed, required to be disclosed by law, or disclosed with the other party's written consent.

9. Australian Consumer Law — your consumer guarantees

Nothing in these Terms excludes, restricts or modifies any rights or remedies you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) in relation to consumer guarantees.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for services that are not rendered with due care and skill, or that are not reasonably fit for the disclosed purpose, and you are entitled to have the services supplied again or compensated if they are not supplied within a reasonable time.

If our services do not meet a consumer guarantee, you may be entitled to a remedy. Please contact us and we will work with you to resolve the issue fairly and promptly.

10. Limitation of liability

To the fullest extent permitted by law, and except as required by the Australian Consumer Law:

This limitation does not apply to liability that cannot lawfully be limited, including liability for anything that cannot be excluded under the Australian Consumer Law, or to liability arising from fraud or wilful misconduct.

11. Third-party materials and links

Our website and deliverables may reference or link to third-party websites, software or data sources. We do not endorse or take responsibility for third-party content, and your use of third-party products or services is at your own risk and subject to their own terms.

12. Termination

Either party may terminate an engagement by giving at least 14 days' written notice, or immediately if the other party commits a material breach that is not remedied within 14 days of written notice, becomes insolvent, or engages in serious misconduct.

On termination, you agree to pay for all services properly performed and expenses reasonably incurred up to the effective date of termination. Provisions that are intended to continue after termination (including confidentiality, intellectual property, liability and governing law) will survive.

13. Force majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, pandemics, industrial action, government restrictions, cyber incidents or failures of third-party infrastructure. Affected timelines will be adjusted fairly and communicated to you as soon as practicable.

14. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). Our Privacy Policy forms part of these Terms.

15. Dispute resolution and governing law

If a dispute arises, we ask that you first contact us with details of your concern. Both parties agree to attempt good-faith resolution, including through discussion between senior representatives, before commencing formal proceedings.

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts of appeal from them.

16. Changes to these Terms

We may update these Terms from time to time. The current version will always be published on this page with a revised "Last updated" date. Where a change materially affects an existing engagement, we will notify you before it applies to that engagement.

17. Contact us

Questions about these Terms, your engagement, or an invoice can be sent to us by email at ceo@richieliyana.online or through our Contact page. We aim to respond to enquiries within two business days.
